KeloFit Terms of Service

1. About KeloFit

KeloFit provides smart wearable products and digital health management services designed to help users understand and manage their daily activity, sleep, recovery, wellness, and other health-related information.

• Smart ring device management and configuration;
• Bluetooth connectivity and data synchronization;
• Heart rate monitoring;
• Heart rate variability (HRV) monitoring;
• Blood oxygen (SpO₂) monitoring;
• Skin or body temperature monitoring;
• Sleep monitoring and analysis;
• Activity and step tracking;
• Stress and recovery analysis;
• Vitality or wellness scores;
• Menstrual or cycle-related tracking, where available;
• Health and wellness trends;
• Health-related reports and summaries;
• Personalized wellness insights;
• AI-assisted analysis and recommendations;
• Firmware and software updates;
• Data export and sharing features; and
• Integration with supported third-party health platforms.

Features may vary depending on the specific KeloFit product, software version, geographic region, applicable laws, and third-party services.

2. Eligibility

You must be legally permitted to use the Services under the laws applicable to you.

• If you are under the age required to independently consent to these Terms in your jurisdiction, you may use the Services only with the involvement and consent of your parent or legal guardian where required by applicable law.
• If you create an account on behalf of another person, you represent that you are authorized to do so.

3. Your KeloFit Account

Certain features may require you to create a KeloFit account. You agree to:

• Provide accurate, current, and complete information;
• Keep your account information up to date;
• Maintain the confidentiality of your login credentials;
• Take reasonable steps to protect your account;
• Notify us promptly if you believe your account has been compromised; and
• Not use another person's account without authorization.

You are responsible for activities conducted through your account unless the activity resulted from circumstances for which you are not legally responsible. We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

4. Smart Ring and Device Use

The KeloFit Smart Ring and related hardware are intended to be used together with compatible KeloFit software and services.

• Enable Bluetooth on your mobile device;
• Grant required permissions to the KeloFit App;
• Pair your Smart Ring with the App;
• Maintain sufficient battery power; and
• Maintain a compatible mobile device and operating system.

Bluetooth communication may be affected by distance, physical obstructions, electromagnetic interference, mobile device settings, and other environmental factors. You acknowledge that data collected by the Smart Ring may not always be complete, continuous, or accurate.

5. Health and Wellness Information

The Services may provide health-related measurements, scores, trends, insights, and recommendations, including information related to heart rate, HRV, blood oxygen, temperature, sleep, activity, stress, recovery, and other wellness indicators.

6. AI-Powered Features

Certain KeloFit Services may include artificial intelligence ("AI") or machine-learning-based features. AI features may analyze information such as your activity, sleep, physiological measurements, user inputs, and historical trends to generate summaries, insights, recommendations, or other content.

• May contain errors or inaccuracies;
• May be incomplete;
• May not reflect your actual health condition;
• Should not be interpreted as a medical diagnosis;
• Should not replace professional medical advice; and
• Should not be relied upon for emergency or time-critical decisions.

You remain responsible for evaluating AI-generated information and deciding whether and how to act upon it.

7. Health Data and Privacy

Your privacy is important to us. Our collection, use, storage, disclosure, and protection of personal information are described in the KeloFit Privacy Policy, which forms an important part of your use of the Services.

• Heart rate;
• HRV;
• Blood oxygen;
• Temperature;
• Sleep information;
• Activity and step information;
• Stress and recovery indicators;
• Menstrual or cycle-related information, where applicable;
• Exercise information; and
• Other health or wellness information that you choose to provide or that is generated by supported devices.

We will process personal information in accordance with our Privacy Policy and applicable law.

8. Third-Party Health Platforms

The Services may support integration with third-party platforms, including Apple Health, HealthKit, Google Health Connect, or other health and fitness platforms. When you choose to connect a third-party platform, you may be asked to grant KeloFit permission to read or write specific categories of health or fitness information. You may control these permissions through the applicable third-party platform or your device settings.

Your use of third-party platforms is also subject to their respective terms and privacy policies. KeloFit does not control the operation, availability, policies, or practices of third-party platforms.

9. Data Synchronization and Storage

The Smart Ring may temporarily store data and synchronize that data with the KeloFit App when a compatible connection is available.

• Bluetooth connectivity;
• Device battery status;
• Mobile device limitations;
• Network connectivity;
• Server maintenance;
• Software errors;
• Firmware updates; or
• Other technical conditions.

We do not guarantee that all data will be synchronized continuously or without interruption. You should not rely on the Services as the sole repository for information that you are required to retain.

10. Data Sharing

KeloFit may provide features that allow you to generate or share selected health, fitness, wellness, or achievement information. You control whether to use these sharing features.

When you choose to share information with third parties, including social media platforms or messaging services, the information may become subject to the recipient's privacy policies and terms. You are responsible for reviewing the information before sharing it. KeloFit does not control how third parties subsequently use information that you voluntarily provide to them.

11. Software and Firmware Updates

We may periodically provide updates to the KeloFit App, Smart Ring firmware, algorithms, cloud services, security features, and other components of the Services.

Updates may include bug fixes, security improvements, performance improvements, feature modifications, or new features. Certain features may require you to install the latest version of the App or firmware. We may discontinue support for certain devices, operating systems, or software versions where reasonably necessary, subject to applicable law.

12. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes;
• Violate any applicable laws or regulations;
• Access another user's account without authorization;
• Attempt to gain unauthorized access to our systems;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Services, except to the extent expressly permitted by applicable law;
• Modify, copy, reproduce, distribute, lease, sell, or commercially exploit the Services without authorization;
• Circumvent technical restrictions or security mechanisms;
• Interfere with the operation or security of the Services;
• Use automated systems to access the Services in a manner that may adversely affect our systems;
• Upload malicious code, viruses, or other harmful material; or
• Use the Services in a manner that could harm KeloFit, other users, or third parties.

13. Intellectual Property Rights

The Services and their contents, including but not limited to software, firmware, algorithms, artificial intelligence models, user interface designs, graphics, text, logos, trademarks, product designs, audio and visual materials, and other related materials are owned by or licensed to KeloFit and are protected by applicable intellectual property laws.

Except for the limited rights expressly granted to you under these Terms, no intellectual property rights are transferred to you. You may not use the KeloFit name, logo, trademarks, or other brand assets without our prior written permission.

14. User Feedback

If you provide suggestions, comments, ideas, or other feedback regarding the Services ("Feedback"), you grant KeloFit a worldwide, non-exclusive, royalty-free, transferable, sublicensable, and perpetual right to use, reproduce, modify, distribute, and otherwise use such Feedback for any lawful purpose.

You agree that KeloFit may use Feedback without compensation or attribution, subject to applicable law.

15. Third-Party Services

The Services may contain or rely on third-party services, software, platforms, APIs, content, or integrations.

Third-party services are governed by their respective terms and policies. KeloFit is not responsible for the availability, accuracy, security, or performance of third-party services to the extent permitted by applicable law.

16. Service Availability

We strive to provide reliable Services, but we do not guarantee that the Services will always be available, uninterrupted, error-free, secure, compatible with every device, or free from delays or data loss.

The Services may occasionally be unavailable because of maintenance, upgrades, network problems, security incidents, technical failures, or circumstances beyond our reasonable control.

17. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. To the extent permitted by applicable law, KeloFit disclaims warranties that the Services will be uninterrupted, error-free, accurate, complete, reliable, or suitable for a particular purpose.

• Health measurements will always be accurate;
• Health insights will always be correct;
• The Services will detect every physiological change or health condition;
• The Services will prevent any health problem;
• The Services will operate without interruption; or
• The Services will be compatible with all devices or operating systems.

Nothing in these Terms excludes or limits any rights or warranties that cannot lawfully be excluded or limited under applicable law.

18. Limitation of Liability

To the maximum extent permitted by applicable law, KeloFit and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the Services.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless KeloFit and its affiliates, officers, employees, and service providers from claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms;
• Your unlawful or unauthorized use of the Services;
• Your violation of applicable law; or
• Your violation of the rights of another person or entity.

This section does not apply to the extent that the relevant claim resulted from KeloFit's own unlawful conduct or negligence where such exclusion is prohibited by applicable law.

20. Account Suspension and Termination

You may stop using the Services at any time. Where supported, you may request deletion of your KeloFit account through the App or other designated account management channels.

• You materially violate these Terms;
• You engage in fraudulent or unlawful activity;
• Your use creates a security risk;
• Your use may harm other users or the Services; or
• We are required to do so by law.

Where required by applicable law, we will provide appropriate notice or other procedures before termination. Termination will not affect rights or obligations that by their nature should survive termination.

21. Changes to the Services and These Terms

We may modify, suspend, or discontinue portions of the Services from time to time. We may also update these Terms to reflect changes to our Services, changes in technology, changes in applicable law, security requirements, or business or operational requirements.

When legally required, we will provide notice of material changes. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms, to the extent permitted by applicable law. If you do not agree with the revised Terms, you should stop using the Services.

22. Governing Law and Dispute Resolution

These Terms shall be governed by the laws applicable to your place of residence, except to the extent that applicable mandatory law provides otherwise.

For users in jurisdictions that permit contractual selection of governing law and dispute resolution, additional jurisdiction-specific provisions may apply. Nothing in these Terms limits your mandatory consumer protection rights or other rights that cannot legally be waived.

23. Apple App Store Terms

If you obtained the KeloFit App through the Apple App Store, the following additional terms apply:

• You acknowledge that these Terms are between you and KeloFit, and not Apple.
• Apple has no obligation to provide maintenance or support services for the KeloFit App.
• To the extent permitted by applicable law, Apple has no responsibility for addressing claims relating to the KeloFit App.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as a third-party beneficiary.
• Your use of the KeloFit App must also comply with the applicable App Store Terms and Conditions.

24. Google Play Terms

If you obtained the KeloFit App through Google Play, your use of the App is also subject to the applicable Google Play terms and conditions.

Google is not responsible for providing maintenance or support services for the KeloFit App. Your use of Google Play and related services is governed by Google's applicable terms and policies.

25. Export Controls and Sanctions

You agree not to use or export the Services in violation of applicable export control, trade sanctions, or other applicable laws and regulations.

You represent that your use of the Services will comply with the laws applicable to you.

26. Entire Agreement

These Terms, together with the KeloFit Privacy Policy and any other policies or terms expressly incorporated by reference, constitute the agreement between you and KeloFit regarding your use of the Services.

If there is a conflict between these Terms and a specific product or service agreement, the specific agreement will control to the extent applicable.

27. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or interpreted to the minimum extent necessary to make it enforceable. The remaining provisions will remain in full force and effect.

28. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.
